Filewell is software and automation. We are not a tax preparation service and do not provide tax, legal, or financial advice. You remain responsible for your professional obligations, including any duties you have to protect your own clients' information.

04Accounts and access

You agree to provide accurate information, keep your login details secure, and tell us promptly if you suspect unauthorized use. You are responsible for activity under your account, including by people you give access to.

05Plans, billing, and payment

Fees are shown on our plan page when you purchase. By subscribing, you authorize us to charge the payment method you provide on a recurring basis until you cancel. Prices exclude any applicable taxes.

Text and email usage fees, carrier charges, and fees from third-party tools are separate from your plan unless we say otherwise. You may cancel at any time through your account or by emailing [email protected]. Cancellation takes effect at the end of the current billing period unless stated otherwise at purchase.

06Your data and your content

You own the information you and your team put into Filewell. You give us permission to host, process, and use it as needed to provide and support the services. You are responsible for making sure you have the rights, notices, and consents needed to store that information and to contact your clients.

07Acceptable use

You agree not to:

• Use the services for anything unlawful, deceptive, or harmful
• Send spam or messages to people who have not agreed to receive them
• Upload malicious code or try to disrupt or gain unauthorized access to our systems
• Infringe the rights of others
• Resell or copy the services without our written permission

08Text and email compliance

If you send texts or emails through Filewell, you confirm that you have obtained any consent the law requires, that you will honor opt-out requests, and that you will follow applicable messaging laws. We may suspend messaging that appears to violate these rules or the rules of carriers and providers.

09Intellectual property

Filewell and its licensors own the website, brand, software, and related materials. We grant you a limited, non-exclusive, non-transferable right to use the services for your business while your subscription is active. You may not copy, modify, or reverse engineer any part of the services.

Our total liability for any claim related to the services is limited to the fees you paid us in the three months before the claim arose.

You agree to defend and indemnify Filewell against claims, losses, and expenses arising from your misuse of the services, your violation of these terms, or your violation of any law or third-party right.

14Suspension and termination

We may suspend or end your access if you violate these terms or if needed to protect our services or others. You may stop using the services at any time. Sections that by their nature should continue, such as those on payment, liability, and indemnification, will continue after termination.

We may update these terms from time to time. When we do, we will change the date at the top of this page. Continuing to use the website or services after an update means you accept the revised terms.

16Governing law
